It will fit, but you'll find that the springs will most certainly be the wrong spec. The 320d can use the 335i damper, but you'll need new springs to match the car and the spec. The sways can also be used.

Incidentally for questions on the 320d or any diesel BMW for that matter, you'll get more response from the UK forum as opposed to this US-focussed section, as the diesels aren't available in the US (until very recently, and only then the 335d)
